Terms of Service
Effective Date: July 2, 2026
These Terms of Service ("Terms") form a binding agreement between you ("User," "Client," or "Service Professional") and VareFy, Inc. ("VareFy," "we," "our," or "us").
By accessing or using the VareFy platform, including our mobile applications, websites, and related services (collectively, the "Platform"), you agree to these Terms and to our Privacy Policy.
If you do not agree to these Terms, you may not access or use the Platform.
Definitions
Same Day Cancellation means a Client cancels a scheduled booking, appointment, estimate visit, or work order on the calendar day the service is scheduled to occur, after a Service Professional has accepted the booking through the Platform.
Same Day Cancellation may include cancellations made before or after the Service Professional begins traveling to the service location.
VareFy may assess applicable cancellation fees in accordance with Platform policies then in effect.
Client No Show means a Client is unavailable, unreachable, denies access, fails to appear, fails to provide required access information, or otherwise prevents a Service Professional from reasonably beginning or performing the scheduled service after the Service Professional has arrived at or near the agreed service location.
A Client No Show may occur whether the service is scheduled at a residence, business, job site, or other approved location.
Platform records, including messages, timestamps, GPS records, arrival confirmations, and related documentation, may be used to determine whether a Client No Show occurred.
Client No Shows may result in a forty dollar ($40) minimum service fee, cancellation fees, or other charges disclosed through the Platform.
1. Platform Overview
VareFy operates a technology platform that enables clients and independent service professionals to connect, communicate, schedule services, process payments, and manage work orders.
VareFy is a neutral platform provider and does not perform, supervise, direct, manage, or guarantee any labor or services offered through the Platform.
The Platform is not an emergency service. Users should not rely on VareFy for emergency assistance, urgent safety situations, medical emergencies, or time-critical services where immediate professional or governmental response is required.
All services are performed by independent third-party service professionals, not by VareFy.
VareFy's role is limited to providing platform tools and related services, including:
- user accounts and communication tools;
- work order and scheduling functionality;
- payment facilitation through third-party providers;
- identity verification and related platform integrity tools;
- GPS, photo, and work-session documentation features; and
- limited dispute support and platform integrity tools.
2. Eligibility and Accounts
You must be at least eighteen (18) years old and legally capable of entering binding agreements to use the Platform.
You agree to provide accurate, current, and complete account information and to keep that information updated.
The Platform is intended solely for users located within the State of Texas unless otherwise authorized by VareFy.
Users under the age of eighteen (18) are prohibited from creating accounts, offering services, requesting services, or otherwise using the Platform.
You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.
VareFy may suspend, restrict, or terminate accounts that violate these Terms, create safety concerns, involve fraud or abuse, or otherwise present risk to the Platform or its users.
3. Independent Service Professionals
Service professionals using VareFy are independent third parties and are not employees, agents, joint venturers, partners, or representatives of VareFy.
VareFy does not control or direct how services are performed, what tools or materials are used, how pricing is determined, or whether services comply with local licensing or permit requirements.
Each service professional is solely responsible for:
- their services and conduct;
- pricing and work quality;
- taxes and insurance;
- licensing and legal compliance; and
- interactions with clients.
Clients are solely responsible for evaluating whether a service professional is appropriate for their needs.
VareFy does not guarantee the qualifications, licensing, conduct, safety, legality, or quality of any user or service.
Service Professionals acknowledge that material charges submitted as part of a formal platform dispute are subject to the Materials Dispute Safe Harbor described in Section 4.
4. Work Orders and Payments
Clients and service professionals may create service requests, estimates, bookings, and work orders through the Platform.
Payments are processed through third-party payment providers, including Stripe Connect and related financial infrastructure services.
Transactions may involve temporary payment holding, processing delays, reserve periods, identity verification requirements, fraud prevention reviews, payout scheduling, or other payment workflow mechanisms administered by third-party providers.
VareFy does not directly hold customer funds and is not a bank, money transmitter, escrow company, or financial institution.
Platform fees, payment timing, cancellations, refunds, and payout timing may vary depending on the nature of the transaction, payment processing requirements, dispute status, or Platform rules in effect at the time of the transaction.
Users agree not to circumvent the Platform for the purpose of avoiding applicable fees, payment systems, or platform protections.
Unless otherwise stated within the Platform, applicable platform fees may be calculated based on the total transaction amount, including labor, materials, fees, or other charges included in a work order.
Service Professionals acknowledge that applicable platform fees will be deducted from amounts otherwise payable to them, as described within the Platform.
Service Professionals are solely responsible for determining charges for labor, materials, travel, procurement, or other services included in a work order, subject to applicable law and any Platform dispute procedures.
Work Orders, Payment Release, and Cancellations
Clients are responsible for reviewing completed work orders in a timely manner.
Unless a Client reports a platform issue, payment dispute, or work-related concern through the Platform within two (2) hours after a work order is marked complete, the Client authorizes VareFy to automatically release eligible funds to the Service Professional.
The Client's failure to initiate a dispute through the Platform within the two (2) hour review window constitutes an absolute and irrevocable waiver of any right to dispute the transaction through the Platform. Upon expiration of the review window without a filed dispute, the Client authorizes the immediate and final release of funds to the Service Professional, and VareFy shall have no obligation to reverse, recover, or adjust funds already disbursed.
Notwithstanding the foregoing, VareFy reserves the right, in its sole discretion, to reopen a completed transaction where the Client submits documented evidence of deliberate billing misrepresentation, criminal fraud, or conduct VareFy determines to be a material violation of these Terms. This exception does not create an obligation for VareFy to investigate or act on any such claim and does not restore or extend the Client's platform dispute window.
Clients who believe a work order was completed improperly or who wish to dispute a transaction must report the issue through the Platform before automatic payment release occurs.
Same-day cancellations may be subject to a cancellation fee. Unless otherwise stated within the Platform, cancellations occurring after a Service Professional has accepted the booking and on the scheduled service date may result in a forty dollar ($40) cancellation charge.
If a Client fails to appear, denies access, is unavailable at the scheduled service location, or otherwise prevents the Service Professional from reasonably performing the scheduled service, the Client may be charged a forty dollar ($40) minimum service fee, in addition to any applicable Platform fees or cancellation charges.
VareFy reserves the right to determine the applicability of cancellation fees, no-show charges, and automatic payment releases based on available Platform records, including messages, timestamps, GPS records, scheduling data, and other transaction information.
Materials Dispute Safe Harbor
Service Professionals retain complete autonomy over their pricing, including any markup applied to materials sourced or procured for a work order. VareFy does not prescribe, limit, or control material pricing under normal operating conditions.
However, if a Client files a formal dispute through the Platform regarding material charges, the parties agree that VareFy will resolve the dispute using the following standard: material markups shall not exceed fifty percent (50%) above the documented retail cost of the disputed materials. The Service Professional must submit a valid, legible retail receipt or equivalent purchase documentation within twenty-four (24) hours of receiving formal dispute notification through the Platform. VareFy will use that documentation to verify whether the markup falls within the cap. If the documented markup is at or below fifty percent (50%), the charge stands as submitted. If the documented markup exceeds fifty percent (50%), the charge will be reduced accordingly.
If the required documentation is not submitted within twenty-four (24) hours, the disputed material charge will be adjusted to a reasonable market rate as determined by VareFy in its sole administrative discretion. VareFy is not obligated to apply any markup on the Service Professional's behalf in the absence of supporting documentation.
This standard applies exclusively as a dispute-resolution mechanism and does not constitute a pricing rule, employment directive, or constraint on the Service Professional's independent business operations.
5. Modifications
A Modification is an additional exchange amount that a Client and Service Professional mutually agree to as part of a work order. A Modification is not a materials charge and may not be classified or represented as one.
VareFy does not review, verify, or determine the basis for any Modification. Service Professionals are solely responsible for the accuracy and characterization of all amounts billed through the Platform, consistent with Section 3.
6. Verification and Platform Features
VareFy may provide optional or automated verification-related features, including:
- identity verification;
- profile verification;
- GPS or location-based confirmations;
- work-session timing tools;
- photo documentation;
- messaging records; and
- fraud prevention or platform integrity systems.
Verification-related features are designed to support transparency, identity confirmation, operational recordkeeping, and platform integrity. These features do not eliminate risk and should not be interpreted as guarantees of safety, reliability, professional competence, lawful conduct, or future behavior.
Unless explicitly stated otherwise within the Platform, VareFy does not conduct criminal background checks, professional licensing reviews, trade certification reviews, or ongoing screening of users.
Identity verification or profile verification features do not constitute guarantees regarding a user's conduct, criminal history, professional qualifications, licensing status, insurance status, or fitness to perform any particular service.
Users should not assume that any user has undergone criminal screening, professional vetting, licensing review, or ongoing monitoring unless explicitly stated within the Platform.
Any platform records, timestamps, photos, or verification data may be reviewed internally for operational, support, fraud prevention, safety, or dispute-related purposes.
7. User Conduct
Users agree not to:
- violate any applicable law;
- provide false or misleading information;
- impersonate another person or entity;
- harass, threaten, or abuse other users;
- upload fraudulent, manipulated, or misleading content;
- misuse the Platform or interfere with Platform operations;
- use the Platform for illegal or unauthorized purposes; or
- attempt to bypass Platform systems, payment processes, or security features.
VareFy reserves the right to investigate suspected violations and to suspend or terminate accounts at its discretion.
Users may submit content through the Platform, including profile information, messages, photos, reviews, work-order documentation, support communications, and other materials ("User Content").
Users are solely responsible for any User Content they submit, upload, transmit, or share through the Platform.
VareFy maintains a zero-tolerance policy for unlawful, abusive, threatening, harassing, hateful, fraudulent, obscene, or otherwise objectionable content or conduct.
Users who upload photos, documents, or files acknowledge that such content may contain personally identifiable information, including but not limited to home or business addresses, license plate numbers, policy numbers, policy holder names, or financial account details. VareFy does not review, redact, or otherwise restrict the personal information contained within uploaded files prior to it being made accessible through the Platform. Users are solely responsible for determining what information they choose to upload and make accessible, and assume all risk associated with any personal information disclosed through their uploaded content.
Users may report suspected violations, safety concerns, or inappropriate conduct through the Platform's reporting tools or by contacting support@varefy.app.
VareFy reserves the right, but not the obligation, to review, remove, restrict, or disable User Content and to suspend or terminate accounts that violate these standards or otherwise present a risk to users or the Platform.
8. Disputes and Platform Support
VareFy may provide limited dispute support, documentation review, or communication assistance between users.
VareFy is not an arbitrator, contractor, insurer, employer, or guarantor of any transaction or service performed through the Platform.
VareFy may review available information such as work order records, messages, timestamps, payment records, GPS data, or uploaded photos when evaluating disputes, fraud concerns, or platform misuse.
Any operational actions taken by VareFy regarding platform administration, refunds, holds, account actions, or payment processing are intended solely for Platform administration purposes.
Failure to report a dispute before an automatic payment release occurs may limit VareFy's ability to recover, reverse, or adjust funds already disbursed to a Service Professional.
When a Client files a dispute within the designated two (2) hour review window, both the Client and Service Professional explicitly authorize VareFy to instruct its third-party payment processor to place an administrative hold on the disputed funds. This hold suspends the release of funds pending VareFy's administrative review of available evidence, including but not limited to receipts, platform communications, timestamps, GPS records, and uploaded documentation.
The administrative hold will remain in place until VareFy issues a final administrative determination, at which point funds will be released or adjusted in accordance with that determination. VareFy's administrative determination is final and binding for purposes of Platform dispute resolution.
VareFy's ability to place or maintain an administrative hold is subject to the terms and capabilities of its third-party payment processor. VareFy does not guarantee the availability of hold mechanisms in all circumstances and shall not be liable for funds released prior to a hold being established.
9. Privacy and Intellectual Property
Your use of the Platform is subject to the VareFy Privacy Policy, which explains how information is collected, used, stored, and shared. By using the Platform, you consent to the practices described in the Privacy Policy.
The Platform, including its software, technology, design, functionality, trademarks, logos, text, graphics, and related intellectual property, is owned by VareFy or its licensors and is protected by applicable intellectual property laws.
Except as expressly permitted by VareFy, users may not copy, reproduce, distribute, modify, reverse engineer, or create derivative works from any portion of the Platform.
10. Disclaimers
The platform and all related services are provided "as is" and "as available" without warranties of any kind, whether express or implied.
To the maximum extent permitted by law, VareFy disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties related to the quality, safety, legality, or performance of services provided by users. VareFy does not guarantee:
- that the Platform will always be available or error-free;
- that any user is truthful, qualified, licensed, or reliable;
- that any work will meet expectations or legal requirements; or
- that disputes between users will be resolved in any particular manner.
11. Indemnification
You agree to defend, indemnify, and hold harmless VareFy, its affiliates, officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, expenses, or costs, including reasonable attorneys' fees, arising out of or related to:
- your use of the Platform;
- your services, conduct, or interactions with other users;
- your violation of these Terms; or
- your violation of any law or third-party rights.
12. Limitation of Liability
To the maximum extent permitted by law, VareFy shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, property damage, personal injury, or business interruption arising from or related to:
- use of the Platform;
- user interactions or services;
- payments or transactions;
- platform interruptions or failures; or
- acts or omissions of users or third parties.
To the maximum extent permitted by law, VareFy's total liability for any claim arising out of or relating to the Platform shall not exceed the total platform fees paid to VareFy related to the specific transaction giving rise to the claim.
13. Governing Law
These Terms shall be governed by the laws of the State of Texas, without regard to conflict-of-law principles.
Any disputes arising from these Terms or the Platform shall be brought in the state or federal courts located in Texas, and you consent to the jurisdiction of those courts.
14. Changes to These Terms
VareFy may update or modify these Terms from time to time.
Updated Terms become effective when posted on the Platform unless otherwise stated.
Your continued use of the Platform after updated Terms are posted constitutes acceptance of the revised Terms.
15. Beta and Early Access Services
Certain portions of the Platform may be offered as beta, testing, preview, or early-access services.
Such features may contain errors, interruptions, delays, inaccuracies, incomplete functionality, or other limitations.
Users acknowledge that beta or early-access features are provided for testing and evaluation purposes and may be modified, suspended, or discontinued at any time without notice.
